Terms of Service
Last updated: 2026-10-25
These terms are the agreement between you and Damian Mathew Bishop, a sole trader registered in Poland (CEIDG), ul. Wierzbięcice 44a/40A, 61-568 Poznań, Poland, NIP 7773472578, REGON 545258794, who runs OIO ("OIO", "we", "us"). They cover the oio.app website and the OIO app (the "Service"). They are also our terms of providing services electronically (regulamin) under Polish law. You can save or print this page at any time.
Also part of the agreement: the Acceptable Use Policy, the Cancellation & Refund Policy and, if you put other people's personal data into OIO, the Data Processing Agreement. How we handle your own data is in the Privacy Policy.
1. Who is who
- Consumer: a person using OIO mainly for purposes outside their trade, business or profession.
- Business customer: anyone else, including freelancers, sole traders and companies using OIO for their work.
- A sole trader entering a contract directly connected with their business, but without a professional character for that person, receives the protections required by Article 7aa of the Polish Consumer Rights Act and Article 385⁵ of the Civil Code. This includes applicable withdrawal, digital-service conformity and unfair-terms protections. We call these customers "protected sole traders".
- Customer: the person or organisation that holds the workspace and, on a paid plan, pays for it. Users: the people the customer lets into the workspace (team members). Users act for the customer; the customer is the party to the paid plan.
In these Terms, clauses limited to business customers do not apply to consumers or protected sole traders.
2. What OIO is
OIO is software for running freelance and studio work: projects, clients, tasks, invoices and documents, files, recordings, whiteboards, calendar, chat, lead forms and an AI assistant. We provide it electronically, in these forms:
- a user account and workspace (Free or paid plan);
- sharing links, client status pages and public lead forms you create;
- emails and notifications the Service sends for you or to you;
- our public website, free tools and templates, which you can use without an account.
What each plan includes (storage, seats, AI allowance) is on the pricing page at the time you subscribe. The Free plan has no time limit and no card.
While the agreement runs, we give you a limited, non-exclusive, non-transferable right to use the Service for your own work and your organisation's work, within your plan. We keep all rights in the software, the website and the OIO name and logo.
3. What you need to use it
- A device with an internet connection and a current version of Chrome, Edge, Firefox or Safari, with JavaScript and cookies turned on. OIO is built for computers first; phones and tablets work but some views are simpler there.
- An email address you can receive mail at.
- Microphone or camera access for recording features, if you use them.
Any online service carries risks such as malware, phishing and someone getting hold of your password. Keep your device updated, use a strong unique password, turn on 2FA, and note that we will never ask for your password by email.
4. Your account
- The agreement starts when you create an account, and runs until you or we end it. A paid plan is an additional agreement that starts when you complete checkout (section 5).
- You must be at least 16 to use OIO, and an adult with full legal capacity to buy a paid plan.
- If you accept these terms for a company or other organisation, you confirm you are authorised to bind it, and "you" then means that organisation.
- Give accurate details and keep them up to date. Keep your sign-in details to yourself; you are responsible for what happens under your account.
- Tell us at once at security@oio.app if you think someone else has access.
- One Free account per person or company.
- If you invite team members, you are responsible for what you let them see and do.
5. Paid plans, trial and billing
- Prices. The price is the one shown on the pricing page and at checkout. Solo and Studio can be paid monthly or yearly; the yearly price is 9 times the monthly one. Payment is by card through Stripe.
- Taxes. Taxes depend on the transaction and applicable law. Our Polish small-business VAT exemption applies where its conditions are met; it does not automatically exempt supplies taxable elsewhere. Before you subscribe, checkout shows the total payable, including taxes we must collect. Business customers must provide accurate billing and tax details and remain responsible for any reverse-charge obligations imposed on them.
- Free trial. Your first paid subscription starts with a free trial: 7 days on Solo, 14 days on Studio. The length is shown at checkout. We take your card at checkout but charge nothing during the trial. If you do not cancel before the trial ends, the plan you chose starts and we charge the first period. We send you a reminder before the trial ends. One trial per customer.
- Renewal. Plans renew automatically for the same period (monthly or yearly) and are charged in advance, until you cancel.
- Cancelling. Cancel any time in Settings > Plan and billing, or by email to support@oio.app. Cancelling stops the next renewal; you keep the plan until the end of the period you paid for, then the workspace drops to Free. Nothing is deleted when you cancel. Paid-only features such as AI stop, and if you are over the Free plan's limits you cannot add more until you upgrade or tidy up.
- Consumers on yearly plans. After a yearly plan has renewed automatically, a consumer can end it at any time with one month's notice, and we refund the unused whole months.
- Changing plans. Upgrades and downgrades take effect at once and Stripe works out the difference pro rata.
- Add-ons. On a paid plan you can add extra seats (Studio only), AI prompt packs and storage packs in Settings > Plan and billing, at the prices shown there. Seats and storage packs can be billed monthly or yearly with your plan (yearly at 9 times the monthly price). AI packs are monthly only, so they are not available on yearly billing. Add-ons renew with your plan until you remove them and are charged to the card on file. Adding seats or storage is charged at once, pro rata for the rest of the period; removing them is credited on your next bill, once the seats are free or the files fit. Adding an AI pack starts a new monthly billing cycle that day, with unused time on your plan credited; removing one takes effect at once and is not refunded for the rest of that month.
- AI allowance. Paid plans include AI with a fair-use allowance per rolling 30 days, shown in Settings > Plan and billing. More is an add-on. The Free plan does not include AI.
- Founding studio price. A founding studio keeps the Studio base price at the founding price for as long as that subscription stays active. The founding price locks the base plan price only. What the Studio plan includes, extra seats and add-ons follow the normal Studio terms and prices. If we agreed anything more with you in writing when you took a founding place, you keep what you were sold, and we never reduce it afterwards.
- Price changes. We can change prices for the future, but not a founding price we have agreed. We tell you by email at least 30 days before your next renewal at the new price. If you do not want it, cancel before then.
- Failed payments. If a payment fails, Stripe retries it. If it still fails, the workspace drops to Free until it is paid.
- Receipts and invoices. You get a receipt or invoice by email for each payment.
- Refunds. Apart from the statutory rights in section 6 and the cases in our Refund Policy, payments are not refunded.
6. Right of withdrawal (consumers and protected sole traders)
Consumers and protected sole traders may withdraw from the paid subscription agreement within 14 days of concluding it, without giving a reason.
Starting the Service during that period does not by itself remove this right. We may charge proportionately for service supplied before withdrawal only where you expressly requested an early start and received the information required by law. Free-trial days remain free.
To withdraw, send a clear statement to support@oio.app or our postal address. The model form in our Cancellation & Refund Policy is optional. We refund amounts due within 14 days after receiving your withdrawal, using the original payment method unless you agree otherwise without extra cost.
7. Rules for using OIO
You may not use OIO to provide or store unlawful content, or to break the law or other people's rights. In particular, no:
- content that is illegal where you are or in Poland, including child sexual abuse material, terrorist content, illegal hate speech, and content that infringes copyright, trade marks or privacy;
- malware, phishing, fraud, spam or attacks on the Service or anyone else;
- attempts to get around security, rate limits or plan limits, or to reach data that is not yours;
- processing of personal data without a legal basis;
- reselling the Service without our written permission.
The Acceptable Use Policy has the full list. Section 11 explains what we do when a rule is broken.
8. Your content
What you put into OIO stays yours. You give us the right to host, store, copy, transmit, process and display it only as needed to run the Service for you (including backups, and sending it to the providers listed in the Privacy Policy when a feature you use needs them). That right ends when the content is deleted, subject to backups rolling off and section 13. You confirm you are allowed to upload what you upload.
If you send us ideas or feedback, we may use them without owing you anything.
9. Personal data and the DPA
For personal data in a customer's workspace, including its client spaces, the customer determines the purposes and lawful basis of processing. OIO processes that data on the customer's documented instructions under the Data Processing Agreement (DPA), which is part of these terms. If the customer acts for another controller, OIO acts as its sub-processor.
Invited clients, signers and collaborators do not become parties to the customer's paid subscription merely by accessing shared content.
OIO separately acts as controller where it determines its own purposes, such as account administration, billing, security and lawful product measurement. Those activities and their legal bases are described in the Privacy Policy.
Requests about workspace content should normally go to the relevant customer; OIO assists them. Requests about OIO's own controller processing may be sent directly to privacy@oio.app.
10. AI features
- The assistant, transcription and other AI features are run by third-party AI providers (Anthropic and Groq at the moment, both in the USA). What goes to whom, and where, is in the Privacy Policy.
- AI features only run when you use them. They are labelled as AI in the app.
- We do not use your content to train AI models.
- AI output can be wrong, incomplete or out of date. Check it before you rely on it, especially for money, legal or tax matters. It is not professional advice.
- You must review AI-generated invoices, contract text and proposed actions before you send them or carry them out.
- Paid plans include an AI allowance per rolling 30 days (section 5). When it runs out, AI features pause until usage falls back under the allowance or you add an AI pack. The Free plan does not include AI.
10a. Electronic signatures
You can send a contract, proposal or PDF from OIO to be signed online. Each signer gets their own link by email (or from you). This part of the terms also applies to signers, who don't need an OIO account.
- Before signing, each signer ticks a box to agree to sign electronically. Their signature (drawn or typed), the fields they fill in, the time, their IP address and their browser are recorded.
- These are simple electronic signatures under the EU eIDAS Regulation (Art. 3(10)). They are not advanced or qualified electronic signatures, and we do not claim they meet the rules of any particular national e-signature law. In Poland a simple electronic signature does not meet the written form (forma pisemna), which needs a handwritten or a qualified electronic signature. Some documents need a qualified signature, a notary or a handwritten one (in many countries: property transfers, wills, some employment and consumer credit documents). Whether a simple electronic signature is enough for your document is your call as the sender.
- OIO does not check who a signer is. Access to a link is not proof of identity: it only shows that someone had access to that email address or to the link you shared. If you need more, check identity yourself before you send.
- A signer who would rather sign on paper should not sign online. They can decline on the signing page or ask the sender for a paper copy.
- The document is frozen when it is sent: its SHA-256 fingerprint is recorded and it can't be changed after that. The signed PDF is the frozen document with the signatures and a signature certificate added after it. The audit trail is kept with the request.
- You are responsible for what you send, and for being allowed to send it to the people you name. Signing links work for 30 days, and you can withdraw a request at any time.
- The Free plan includes 1 signature request per month. Paid plans have no monthly limit.
11. Reports, moderation and points of contact
We do not watch what you store, but we act on reports. This section is how we meet the EU Digital Services Act.
- Reporting illegal content. Anyone can report content on OIO they believe is illegal (for example a shared link or a public form) to abuse@oio.app. Include: why you think it is illegal, the exact link, your name and email (not needed for child sexual abuse reports), and a statement that you believe in good faith that the report is accurate and complete. We confirm receipt, decide carefully and without undue delay, and tell you what we did. Copyright reports follow the same route; see the Acceptable Use Policy.
- What we may do. Remove or disable access to content, turn off a sharing link or form, limit features, or suspend or close an account. We act in proportion to the problem, considering how serious it is and whether it is repeated.
- Telling you why. If we restrict your content or account, we tell you what we did, why, which rule or law it is based on, and how to challenge it, unless the law or an authority stops us. You can reply to that message or write to legal@oio.app and we will look at it again. You can also go to court.
- We do not use automated tools to decide on content.
- If we learn of content suggesting a crime that threatens someone's life or safety, we tell the police.
- Points of contact. For users, and for EU member state authorities, the Commission and the European Board for Digital Services: legal@oio.app. Languages: English and Polish.
12. Availability and changes to the Service
- We work to keep OIO running and your data safe, but we do not promise it will always be available or error-free. We may pause it for maintenance, ideally with notice.
- We keep developing OIO and may change features. We do not remove a core feature of a paid plan during the period you paid for without good reason, such as security, a change in law or a provider shutting down.
- Changes beyond those needed to keep the Service in conformity may be made only for justified reasons stated in this agreement, such as legal requirements, security needs or necessary technical compatibility. They will not impose additional costs on consumers or protected sole traders. If a change negatively affects access or use by more than a minor amount, we will give advance notice on a durable medium explaining the change and the right to terminate. You may terminate without charge within 30 days after the change or receipt of that notice, whichever is later, unless we let you keep the unchanged, conforming Service without additional cost. Applicable refunds remain available.
- Keep your own copies of important documents. Exports are in Settings.
13. Ending the agreement
- You can stop at any time: cancel the paid plan (section 5), or delete your account in Settings, which deletes your data as described in the Privacy Policy.
- We may end the agreement on at least 30 days' email notice if we discontinue the Service or the relevant offering, or a legal requirement or necessary security measure prevents its continued provision. We will explain the reason, refund unused prepaid fees and provide the applicable export opportunity. Immediate suspension or termination remains subject to the grounds and safeguards below.
- We can suspend or close an account at once if you seriously or repeatedly break these terms or the law, do not pay, or put the Service or other people at risk. We tell you why (section 11). If we close a paid account for no fault of yours, we refund the unused part.
- Your data. Before we close an account, you get at least 30 days to export your data, unless the law stops us or the account was used for serious illegal activity.
14. Complaints
If something does not work as promised, or you are unhappy with us, write to support@oio.app or by post to the address at the top. Tell us who you are (the account email), what happened and what you want us to do. We answer within 14 days. If you are a consumer and we do not answer in that time, your complaint counts as accepted.
Consumers also keep their statutory rights if the Service does not match the agreement: we fix it within a reasonable time and free of charge, and if we cannot, you can ask for a lower price or end the agreement and get a refund for the affected time. Nothing in these terms limits those rights.
Consumers in Poland can get free help from their local consumer ombudsman (miejski or powiatowy rzecznik konsumentów) or the Voivodeship Trade Inspection, and elsewhere from a national consumer body. We do not take part in out-of-court consumer dispute resolution, but you can always go to court.
15. Liability
Nothing in these Terms limits liability for intentional misconduct, gross negligence, death or personal injury, or any liability that cannot lawfully be limited. Consumers and protected sole traders under section 1 keep their mandatory rights.
For other business customers, to the extent permitted by law, we exclude liability for lost profits, lost revenue, lost business opportunities and indirect losses.
Our total liability for claims arising from events in the same calendar year is limited to the greater of EUR 100 and the fees you paid us for the Service during the 12 months before the first event giving rise to those claims. Connected events arising from the same cause count as one event. This limit applies regardless of the legal basis of the claim.
These limits do not restrict statutory refunds, individuals' rights under data protection law, or the powers of courts and regulators.
You should keep independent copies of important records and files. This does not replace our contractual or legal duties to protect and restore data.
We are not responsible for a failure to the extent it results from an event outside our reasonable control that we could not reasonably prevent or overcome. We must take reasonable steps to limit its effects. A provider outage or cyberattack does not by itself establish this exception.
Between business customers other than protected sole traders, statutory warranty for defects (rękojmia) is excluded to the extent permitted by law.
16. Claims against us caused by you (business customers)
This section applies only to business customers, never to consumers or protected sole traders. If a third party brings a claim against us because content you uploaded, or the way you used the Service, broke these terms or the law, you cover the damages awarded against us or the settlement you agreed to, and our reasonable defence costs, to the extent the claim results from your breach. It does not cover losses caused by us, by our own breach or by our providers.
We tell you about the claim promptly, consult you on the defence, and let you take part in it or, where the law allows, run it yourself. We do not settle a claim you are paying for without your agreement, and you do not settle it in a way that admits fault for us or binds us without ours.
17. Changes to these terms
We may amend these Terms where necessary to address a change in law, a security requirement or a justified change to the Service permitted by this agreement. Changes must be proportionate to that reason.
We will email the proposed changes, reasons and effective date at least 30 days beforehand, unless a binding legal requirement requires a shorter period. Where a change materially disadvantages you, you may end the agreement before it takes effect and receive a refund of unused prepaid fees.
Changes do not apply retrospectively, remove accrued rights or override an agreed founding-price commitment. Where the law requires express agreement, continued use alone is not consent.
18. Law and courts
- These terms are governed by Polish law.
- Consumers also keep the protection of the mandatory laws of the country where they live. You can bring a claim in the courts of your country or of Poland, and we can only bring one against you in the courts of your country.
- Business customers: disputes go to the courts of Poznań, Poland. UN sales law (CISG) does not apply.
19. Other things
- If one clause is invalid, the rest still applies. Between us and business customers, the invalid clause is replaced by a valid one that comes closest to its purpose. For consumers and protected sole traders, the invalid clause simply does not apply and the law fills the gap.
- Not enforcing a right now does not mean we give it up.
- You may not transfer this agreement without our consent. We may transfer it to a successor running the Service, and tell you; if you are a consumer and do not agree, you can end it.
- We send notices to the email on your account or in the app. You send them to the addresses below.
- These terms are written in English. If we provide a translation, the English version applies, unless the law where a consumer lives says otherwise.
